IP DALIN SOFTWARE STUDIO
B2B Contract Framework

Terms of Service & IP Ownership

These Terms of Service define the foundational business relationship, delivery expectations, and intellectual property transfers between IP DALIN Software Engineering Studio and our enterprise clients.

1. Architecture Discovery and Project Scoping

All large-scale software engineering projects commence with a formal Architecture Discovery phase. During this phase, we collaboratively define the technical architecture, UI/UX requirements, and database models. The output is a definitive Scope of Work (SOW) which forms the baseline for budget, timeline, and deliverables.

2. Fixed Milestones and Delivery Phases

IP DALIN operates on a transparent, milestone-driven development methodology. Projects are divided into clear, measurable phases (e.g., UI/UX Design, Core API Development, Mobile App Implementation, UAT). Payments are strictly tied to the successful delivery and client approval of these predefined milestones.

3. 100% Intellectual Property (IP) Transfer

We do not lease or license the custom software we build for you; you own it entirely. Upon the completion of the project and clearance of all milestone invoices, IP DALIN transfers 100% ownership of the Intellectual Property (IP) to the client. This transfer includes:

  • Complete, unminified source code for all backend services, web platforms, and mobile apps.
  • Original UI/UX design source files (e.g., Figma projects).
  • API Documentation (OpenAPI/Swagger) and architectural blueprints.
  • Cloud infrastructure configurations (Docker/CI-CD scripts).

4. User Acceptance Testing (UAT) and Warranty

At the conclusion of the final development phase, a formal User Acceptance Testing (UAT) period begins. During this period, the client verifies that the software meets the agreed-upon Scope of Work. Following successful UAT sign-off, a technical warranty period begins to address any hidden architectural bugs or security patches, ensuring a stable transition to production.
